Partner Agreement

1. Partner Agreement (the Agreement)

Cybercert’s Partner Terms and Conditions (T&Cs) are an integral part of this Agreement. You cannot be a partner without accepting the T&Cs.

2. Recipients

Partner has members, customers, or suppliers (“Recipients”) and Partner wishes to make CyberCert’s Products available to the Recipients. CyberCert agrees to provide the Products to the Recipients at the pricing set out in this Agreement.

3. Scope

• CyberCert will supply Discounted Subscriptions to Partner, for use by themselves or their Recipients to obtain a discount on Products, as set out in clause 3 (“Services”)
• CyberCert is responsible for managing the sale and delivery of the Products to the Recipients, collecting all fees for the Products from the Recipients (other than where clause 3 applies) and engagement with the Recipients regarding Product inquiries.
• CyberCert will provide marketing materials and other sales collateral to Partner as determined appropriate by CyberCert and Partner. See Schedule 1 for details.
• Partner will use reasonable efforts to regularly promote the Products to their Recipients. Partner will inform their Recipients about the Products and discounts and will provide the Subscription Discount (See Schedule 1 for type) to their Recipients. All marketing statements made by Partner about CyberCert and the Products must be provided or approved by CyberCert.
• Partner should always follow the CyberCert Brand Style Guide when developing marketing collateral that will include the CyberCert brand and associated marks.
• This relationship is non-exclusive.
• All contracts with the Recipients for Products will be with CyberCert and Partner is not a party to such contracts. CyberCert will have the final say on the contractual terms with the Recipients. CyberCert may decide not to enter into a contract with a Recipient if CyberCert believes it is in the interests of the parties not to do so.
• CyberCert will provide Partner with access to a dashboard for the management of their Recipients.
• Each party will act in a prompt, professional and cooperative manner when dealing with the other party.

4. Discounted Subscriptions

• CyberCert will issue Customer URL/s and/or Coupon Code/s to access a Discounted Subscription to Partner, for Partner to distribute to their Recipients for which terms of the are set out in Schedule 1.
• CyberCert agrees to honor all Recipients that use Partner’s Discount Code.
• Discount Subscriptions must be redeemed on CyberCert’s website.
• If a Recipient purchases a Product, and then renews the Product or later takes up a different Product, no discount will be applicable for the renewal or different Product.
